The Town Attorney is the chief legal officer of the Town and serves as head of the Town's Legal Department. The principal function of the Town Attorney is to advise the Town Board, Department Heads and other officers of the town with regard to the functions and legal incidents relating to the duties of their respective offices.
The individual serving as town attorney is a town officer. Towns that have established the office and appointed a town attorney may also contract with other attorneys or law firms to provide assistance to the town attorney for specific purposes.

The Town Attorney is legal counsel to the Town which includes acting as the attorney for the Town Board , Planning Board, Zoning Board of Appeals, and Historic Preservation Commission. Duties include responsibility for the drafting and review of all resolutions and local laws considered by the Town Board and for providing advice and guidance to the other boards. The Town Attorney is also responsible for contract review, certain personnel issues, and a variety of other matters for the Town, including advising the Supervisor, Town Board members, Town Clerk, Department Heads and other Town staff on legal matters involving municipal governance issues. Additionally, the Town Attorney provides representation to the Town on Town Code enforcement matters.

The government may need to be more complex and its structure will reflect the demands made upon it. Today, however, as various statutory provisions have changed and all towns have home rule powers, there is little difference, in practice, between the powers and duties of the two classes of towns.
He shall attend all meetings of the town board, act as clerk thereof, and keep a complete and accurate record of the proceedings of each meeting, and of all propositions adopted pursuant to this chapter. Immediately after adoption he shall enter into a book to be known as the "ordinance book" a copy of every ordinance adopted by the town board, specifying the date of adoption thereof. In addition, he shall act as secretary of the board of commissioners of any improvement district when so designated by such board of commissioners.
