Retainers are established by entering into a retainer agreement — a formal document that details the obligations, terms and expectations of the attorney-client relationship, and may specify retainer fees, contact rules or methods, or basic expectations. When the lawyer has regularly represented a client, they ordinarily will have evolved an understanding concerning the basis or rate of the fee. The Code of Professional Responsibility (the "Code"), however, does place restrictions upon the lawyer's right to assert a possessory lien with respect to a client's property, papers and files.
